1. GENERAL PROVISIONS

1.1. This Public Offer Agreement (hereinafter referred to as the Agreement) is an official proposal of the individual entrepreneur Poberezhets Ivan Yuriyovych , taxpayer registration card number 3803206192 , (hereinafter referred to as the Seller), to conclude an electronic contract for the purchase and sale of goods remotely through the Seller's online store.

1.2. The fact of full and unconditional acceptance (acceptance) of this offer is the Buyer's payment for the order on the terms specified on the Seller's website.

1.3. This Agreement is public and, in accordance with Articles 633, 641 of the Civil Code of Ukraine, is the same for all buyers. Payment for the order is considered the Buyer's agreement to all the terms and conditions of this offer.

2. CONCEPTS AND DEFINITIONS

  • Goods – exhaust systems, models, accessories, components and/or accompanying items;
  • An online store is a means of presenting or selling goods by completing an electronic transaction;
  • Electronic contract – an agreement between the parties drawn up in electronic form;
  • Electronic transaction – an action of a person carried out using information and communication systems;
  • Seller – a business entity that sells goods through an online store;
  • Buyer – an individual or legal entity that has entered into a contract with the Seller;
  • Order – selection by the Buyer of a product in the Online Store and its payment;
  • Account data – data for identifying the Buyer;
  • Personal data – information that identifies an individual;
  • Consent of the personal data subject is a voluntary expression of will regarding the processing of personal data;
  • Processing of personal data – any action with personal data (collection, storage, depersonalization, etc.).

2.2. This Agreement is concluded in the form of an accession agreement in accordance with Article 634 of the Civil Code of Ukraine.

2.3. Publication of this Agreement on the Seller's website is an official offer to conclude a purchase and sale agreement.

2.4. By accepting the terms of the Agreement, the Buyer confirms that he understands them.

2.6. The Seller has the right to change the terms of the Agreement without separate notice.

2.7. The Parties guarantee legal capacity and capacity to act.

2.8. This Agreement is public within the meaning of Article 633 of the Civil Code of Ukraine.

2.9. The place of conclusion of the Agreement is the city of Kyiv, Ukraine .

2.10. By accepting the terms of the Agreement, the Buyer consents to the processing of personal data in accordance with the Law of Ukraine "On Personal Data Protection".

2.11. The Buyer agrees to the Privacy Policy .

3. SUBJECT OF THE CONTRACT

3.1. The Seller undertakes to transfer the Goods into the ownership of the Buyer, and the Buyer undertakes to pay for and receive them.

3.2. The Agreement regulates:

  • voluntary choice of the Product;
  • placing an order;
  • payment for the order;
  • processing, delivery and transfer of the Goods to the Buyer.

3.3. The Buyer confirms his full legal capacity, capacity to act and is aware of his responsibility.

4. ORDERING PROCEDURE

  • 4.1. The Buyer has the right to place an order for any available product.
  • 4.2. The quantity of goods in the order is unlimited.
  • 4.3. In the event of the absence of goods, the Seller is obliged to notify the Buyer.
  • 4.4. In the event of the goods being unavailable, the Buyer may:
    • replace it with an analogue;
    • to give up on it;
    • cancel the order.

5. PAYMENT PROCEDURE

  • 5.1. Payment is made in one of the following ways:
    • cash on delivery;
    • cashless for legal entities;
    • through payment systems (for example, LiqPay).
  • 5.2. In case of non-payment of the order, the Seller reserves the right to cancel it.

6. DELIVERY CONDITIONS

  • 6.1. Delivery is carried out via a carrier ("Nova Poshta") or by self-pickup at the address: Kyiv, Baseyna St., 21B .
  • 6.2. Relevant documents are provided together with the goods in accordance with the legislation of Ukraine.

7. RIGHTS AND OBLIGATIONS OF THE PARTIES

  • 7.1. The Seller has the right:
    • suspend the performance of the Agreement in case of violations by the Buyer.
  • 7.2. The Seller is obliged to:
    • to sell the Goods under the terms of the Agreement;
    • provide Goods of proper quality;
    • comply with legislation on the protection of personal data.
  • 7.3. The Buyer has the right:
    • place an order;
    • conclude an electronic contract;
    • to demand fulfillment of the terms of the Agreement.
  • 7.4. The Buyer is obliged to:
    • pay for the order on time;
    • receive the Product.

8. RESPONSIBILITY OF THE PARTIES

  • 8.1. The Parties are liable in accordance with the Agreement and the law.
  • 8.2. The Seller is not responsible for:
    • color difference due to monitor settings;
    • delivery delays due to external reasons;
    • actions of third parties or force majeure;
    • loss of access to the Buyer's account due to the Buyer's fault.
  • 8.3. The Buyer is responsible for his/her actions on the Internet.
  • 8.4. A party is deemed innocent if it proves that it acted in good faith.
  • 8.5. In the event of force majeure, the Parties shall be released from liability.
  • 8.6. Disputes are resolved through negotiations, and if this is impossible, in court at the Seller's location.
  • 8.7. All unresolved issues are governed by the legislation of Ukraine.

9. OTHER CONDITIONS

  • 9.1. The Seller has the right to change the terms of the Agreement without notice. Changes shall enter into force upon publication.
  • 9.2. The online store was created for distance trading in exhaust systems and related products.
  • 9.3. The buyer is responsible for the accuracy of the data.
  • 9.4. Payment means full agreement with the terms of the Agreement.
  • 9.5. The date of conclusion of the electronic contract is the date of acceptance of the offer by the Buyer.
  • 9.6. Viewing products and placing orders is free of charge.
  • 9.7. Information about the Buyer is confidential.
  • 9.8. The Buyer undertakes to maintain the confidentiality of information received from the Seller.
  • 9.9. The invalidity of individual provisions does not affect the validity of the remaining conditions.
  • 9.10. Appendices are an integral part of the Agreement.

10. RETURN OF GOODS OF PROPER QUALITY

  • 10.1. The refund is carried out in accordance with the legislation of Ukraine.
  • 10.2. The return is made at the expense of the Buyer.
  • 10.3. The cost of the goods is refunded minus delivery costs.
  • 10.4. Exhaust systems, goods manufactured or imported to order, are not subject to return , except in cases of factory defect or incompleteness.
  • 10.5. Goods are not subject to return if:
    • more than 14 days have passed;
    • no statement;
    • no packaging;
    • the product has traces of use or installation.
  • 10.6. Goods from the Resolution of the Cabinet of Ministers No. 172 are also not returned, in particular:
    • gloves;
    • underwear;
    • hosiery;
    • goods in aerosol packaging;
    • auto parts and accessories for tuning.
  • 10.7. The return is agreed with the manager via email or personal account.

11. TERM OF THE AGREEMENT

  • 11.1. The contract is considered concluded from the moment of acceptance of the offer.
  • 11.2. May be terminated by agreement of the parties prior to delivery.
  • 11.3. The Agreement may be terminated unilaterally in cases provided for by law.
